MINUTES OF THE SPECIAL BOARD MEETING September 16, 2014 Page 1 of 7 SIMI VALLEY UNIFIED SCHOOL DISTRICT BOARD OF EDUCATION MINUTES OF THE SPECIAL BOARD MEETING September 16, 2014 CALL TO ORDER Board President Collins called a special meeting of the Board of OPEN SESSION Education to order at 5:32 p.m. in the Floyd Binns Room at the Educational Services Center, 875 E. Cochran Street, Simi Valley, CA 93065 PRESENT Board Members: Rob Collins, Jeanne Davis, Arleigh Kidd, Dan White and Debbie Sandland Staff Members: Dr. Kathryn Scroggin, Interim-Superintendent Dan Houghton, Assistant Superintendent Ron Todo, Assistant Superintendent Dr. Jason Peplinski, Assistant Superintendent Sean Goldman, Executive Director FLAG SALUTE The Flag salute was let by Board President Collins. PUBLIC Trustee Davis stated there was one (1) Blue card submitted for public comment. COMMENTS Jenniffer Jones – Parent/Community Member: • Requests the Board wait until the regular Board Meeting on October 7 to appoint another Interim-Superintendent, or interview candidates for Superintendent, effective November 1. • Turmoil created by a school closure, Dr. Scroggin’s resignation, Trustee Kidd not seeking reelection. • Maintain stability within the district; keep Dr. Scroggin as Interim-Superintendent until a new Superintendent is found. • If no replacement has been selected by November 1, she recommends Dr. Jason Peplinski to be appointed as Interim-Superintendent. He could build a very positive bridge that we desperately need for the community, the school district and School Board. ASCIP has provided SVUSD with a proposal projecting savings in the PPO Plan which would allow the District to cancel the current self-funded program and remove the liability we have for any unexpected claims and the need to keep a reserve in the medical fund to cover all future medical claim expenses. In addition to this, the proposal has minimal changes for all three health benefit plans the district has, and in many cases have even a better benefit. The proposed annual fee for the service period of January 1, 2015 through December 31, 2016, shall be $23,015,199, a savings of over $4,151,773 in premiums for the first two years. (Exhibit B) This Premium Run-In proposal rate schedule provided by ASCIP will

MINUTES OF THE SPECIAL BOARD MEETING September 16, 2014 Page 3 of 7 allow SVUSD to fund the "Run Off 'of any claims that come in after switching from the SVUSD self-funded plan. In addition to this the district has obtained "Stop Loss" coverage for an additional six months. Should there be any large claims incurred before December 31, 2014, but presented for payment after January 1, 2015, above $200,000, the "Stop Loss" will pay the excess through June 30, 2015. Projected Fiscal Year Savings are: 2014-2015 - $501,238 2015-2016 - $1,697,438 2016-2017 - $2,440,759 2017-2018 - $3,308,195 Trustee White stated that obviously this is the way to go and is a great accomplishment to restructure health care, save money, and will not hurt employees. He also stated that in the future there could be more ways to save monies in other areas. Trustee Kidd asked the following questions/Ron Todo responded: • Q.) Will SVUSD have a member on the Board? A.) Per Poms & Associates, SVUSD would not have a member on the Board. • Q.) Would employees still be able to use their current providers? A.) Yes, the district will stay with the Anthem Blue Cross family of programs. • Q.) Is there any additional cost to make payments versus paying costs off right away? A.) There is no advantage to pay early. • Q.) How is the rating done; through a pool? A.) Historically the PPO only increases on an average of 2-6% per year, our current plans have averaged an increase of 10% per year. Trustee Davis asked the following questions/Ron Todo responded: • Q.) Were there alternate proposals? A.) ASCIP was the only group that came back with a proposal like this. Trustee Sandland asked the following questions/Ron Todo responded: • Q.) Would prescriptions still be available through the U.S. mail? A.) Prescriptions will be available through Costco’s pharmacy; employees do not have to be a member of Costco to use the Costco Pharmacy. • Q.) What about Vision? A.) The District will be moving employees with Anthem/Blue Cross to the VSP vision plan (not affiliated with ASCIP medical program). • Q.) What are the changes that will affect employees? A.) Anthem Blue Cross HMO – charges for hospital visits; employees will pay more for chiropractic visits, but will be allowed more visits than on current plan. The Dental plan will remain the same. • Q.) What are the changes to enrolling family members? A.) No changes

MINUTES OF THE SPECIAL BOARD MEETING September 16, 2014 Page 4 of 7 Trustee Collins stated that for thirty (30) years we have discussed getting Simi Valley Unified School District out of the self-funded plan. He appreciates that the district will save money and this is a good step. Trustee Collins was concerned about the $200.00 cost for an employee to go to a hospital under the HMO plan; employees have to be informed of this change. Ron Todo responded that there are already plans for staff to go out with SEA and CSEA to discuss the changes with employees on September 24th and 29th (at different locations). There is an automatic Roll-Over into ASCIP health benefit plan unless an employee wants to change their plan/provider. In closing, Trustee Collins questioned monthly fluctuating projected costs. Ron Todo replied that we are only charged for the employees the district employs. Motion #393 Vote: MSCU, Sandland/Kidd., 5/0, the Board of Education approved the Agreement A15.65 Between SVUSD and ASCIP (Alliance of Schools for Cooperative Insurance Programs) for Third-Party Health Care Benefits Administration of Self-Funded Insurance for Fiscal Year 2014/2015 Roll-call-vote Ayes: Kidd, Davis, White, Sandland Collins Noes: None Absent: None Abstained: None BOARD/ADMINISTRATION: SUPERINTENDENT The Board of Education will now consider appointing one or more Interim-Superintendent(s) SEARCH to discharge the duties of District Superintendent in accordance with Education Code sections 35026 and 35035 pending completion of the recruitment and selection process for a new Superintendent. (ACTION-roll-call-vote) Dr. Kathryn Scroggin stated: At the Regular School Board Meeting, on September 9, 2014, Board Members discussed and brought forward three (3) motions in regards to Board/Administration Action item #4. Those motions were approved and are listed below: Motion #379 Approval to RECONSIDER & MODIFY a previous formal action authorizing the Ventura County of Education to perform Simi Valley Unified School District Superintendent Search. MSC, Davis/White, 3/2/0, (Ayes: White, Kidd, Davis - Noes: Sandland, Collins) Motion #380 Approval to BEGIN AN IMMEDIATE SEARCH, allows the Board to review applications, and include Mr. Thurbon to help with the process. MSC, Kidd/Davis, 3/2/0, (Ayes: White, Kidd, Davis - Noes: Sandland, Collins) Motion #381 Approval to SCHEDULE A SPECIAL BOARD MEETING, to consider the appointment of Interim-Superintendent or Superintendents on September 16, 2014. MSC, Davis/White, 3/2/0, (Ayes: White, Kidd, Davis - Noes: Sandland, Collins)

MINUTES OF THE SPECIAL BOARD MEETING September 16, 2014 Page 5 of 7 The Board of Education will now consider appointing one or more Interim-Superintendents to discharge the duties of District Superintendent in accordance with Education Code sections 35026 and 35035 pending completion of the recruitment and selection process for a new Superintendent. Dr. Scroggin stated that Mr. Thurbon is available to speak about the legalities of appointing one or more Interim-Superintendents. She also added that all three (3) of the current Assistant Superintendents have told her that they would not be applying for the position of Superintendent. Dr. Scroggin then asked Mr. Thurbon to address the Board. Mr. Thurbon stated that looking through state stature, nothing in the law precludes a Board of Education from appointing more than one Interim-Superintendent. He did state that there are practical issues; mandate in the law states there has to be a chief executive officer as a member of the Board (in most cases that would be the Superintendent) and there usually is a single designated person responsible for the duties required of a Superintendent. The Board Members began a discussion: Trustee Sandland: Why are we appointing another Interim-Superintendent? The Election is in November, what is the urgency? This makes no sense as there is no benefit to the District. What is the real political intention? Trustee White: Stated he understands that the three (3) current Assistant Superintendents are not interested in applying for the Superintendent position at this time; he hoped each one would reconsider and apply. Trustee Davis made a motion for the Board to appoint Dr. Jason Peplinski as an Interim- Superintendent, while the search for a new Superintendent is in process, effective October 1, 2014 (Trustee White seconded the motion) More Discussion: Trustee Kidd added he would like to amend the motion to be effective October 10, 2014, the Friday after the scheduled October 7 regular Board Meeting. Trustee Collins stated, after 30 years of dedicated service, Dr. Scroggin should be given at least one more School Board Meeting to say good bye. He also added that none of the three (3) Assistant Superintendents have any experience as acting Superintendents. Trustee Collins stated that Dan Houghton would be the best person for the temporary position, due to the fact he has the most seniority and Mr. Todo is really busy with the Budget to be considered. Would you like to entertain that amendment? Trustee Davis restated her motion and appoints Dr. Jason Peplinski, not Dan Houghton. Trustee Sandland again stated, “Why are we selecting one of the Assistant Superintendents, with 2,000 employees and 18,000 students? Why do we need another Interim- Superintendent? We should go through the process to find a new Superintendent.”

MINUTES OF THE SPECIAL BOARD MEETING September 16, 2014 Page 6 of 7 Trustee White added that there is an employee who has served as an Assistant Superintend and has filled the role of Superintendent in another district, Sean Goldman, Executive Director of Student Support Services. He also stated that he really likes the look of the leadership team we have for the future. If we are going to extend out this transition he would like Dan Houghton, who was placed in charge of this process, to report to the Board all candidates that apply for the position before any screening is performed. Trustee Collins stated that the five (5) Board Members need to meet and invite legal counsel to set the process criteria for hiring a new Superintendent. A divided board sends out a divided message, creating low morale, and a revolving door for the Superintendent position. Trustee Sandland and Trustee Collins restated their support for the current Interim- Superintendent, Dr. Scroggin. Trustee Collins stated it’s a sad commentary that we lose a knowledgeable Superintendent during the transitional period. Trustee White looks forward to the transition and the future, with a unified Board. Trustee Kidd stated that it is worth pointing out that when Dr. Scroggin was appointed, it was by the Board and no search was done by the County. Dr. Scroggin has done a successful job. He is impressed with Dan Houghton and Personnel Services moving forward. Trustee Kidd thought that a new Superintendent would have been in place by the end of summer. Trustee Collins confirmed with Dan Houghton all applications must be received by October 3, 2014 from interested candidates. Trustee Collins then called for the motion to be restated by Trustee Davis. Motion #394 Vote: MSC, Davis/White, 3/2/0, the Board of Education appointed Dr. Jason Peplinski as Interim-Superintendent to discharge the duties of District Superintendent in accordance with Education Code sections 35026 and 35035, effective October 11, 2014, pending completion of the recruitment and selection process for a new Superintendent. Roll-call-vote Ayes: White, Kidd, Davis Noes: Sandland, Collins Absent: None Abstained: None CONSIDERATION Trustee Kidd made a motion to meet on September 30, 2014 with Mr. Thurbon to discuss FOR FUTURE criteria/ screening process, and public comment. He asked Mr. Thurbon for proper open or ITEM closed session protocol. Mr. Thurbon gave direction: • Closed Session - Discuss confidential criteria – Discuss internal candidates/evaluations of their job. • Open Session – If discussion is confined to the process, qualification, criteria

MINUTES OF THE SPECIAL BOARD MEETING September 16, 2014 Page 7 of 7 Trustee White would like to invite the four (4) internal candidates for preliminary interviews; if any of those four submitted applications; to be in harmony with our staff.
