Present: CRA Members: Absent: Also Present: CALL TO ORDER DUNEDIN, FLORIDA COMMUNITY REDEVELOPMENT AGENCY MINUTES OF THE REGULAR MEETING THURSDAY, JULY 23, 2026 4:30 P.M. Chair Maureen "Moe" Freaney , Members Tom Dugard , Jeff Gow, and Steven Sandbergen Vice Chair Robert Walker City Manager Jennifer Bramley , City Attorney Jennifer Cowan, City Clerk Michelle Wells , IT Services Director Michael Nagy, CRA/Economic Development Director Robert lronsmith, Economic Development Manager Matt Jackson, and Special Projects Coordinator Trevor Davis Chair Freaney called the July 23, 2026, Community Redevelopment Agency meeting to order at 4:30 p.m. MOTION TO EXCUSE ABSENCE Chair Freaney requested a motion to excuse the absence of Vice Chair Walker. MOTION: Motion was made by Member Gow and seconded by Member Dugard to excuse the absence of Vice Chair Walker. VOTE: Motion carried 4- 0. CITIZEN INPUT Chair Freaney advised now was the time for anyone in the audience who wished to speak on a topic that is not already on the agenda. Seeing and hearing no one wishing to speak, Chair Freaney moved to the next agenda item. 1. BUSINESS 1.a. Approve the minutes for the: A. 5/21/2026 CRA Meeting Chair Freaney inquired if there were any corrections; hearing none , she asked for a motion. MOTION: Motion was made by Member Sandbergen and seconded by Member Dugard to approve the May 21, 2026, Community Redevelopment Agency minutes. VOTE: Motion carried 4- 0. 1.b. Community Redevelopment Agency Advisory Committee Chair Report CRAAC minutes attached to the agenda item. CRAAC Chair Alan McHale was unable to attend today. 1.c. Community Redevelopment Agency Annual Independent Audit CRA/Economic Development Director lronsmith advised it is a statutory requirement for the CRA to have an audit each year. If approved, it will be posted on the website. Staff were pleased that, again , there were no red flags on the CRA. Jeff Wolf with Forvis Mazars advised: The CRA audit is about compliance, and the financial information is part of the City. It is about compliance , the CRA collecting money as required by statute and the Tax Increment 26-1

Regular Meeting Minutes July 23 , 2026 Community Redevelopment Agency Financing (TIF) calculation and is it being spent in accordance with Florida Statutes and the CRA Plan. He would not get into the financial information ; it is really a compliance aud it and, as noted , there are no issues noted as part of the audit. Mr . Wolf briefly reviewed the report , Attachment A to the staffing memo, and emphasized the importance of a clean audit. Independent Auditor 's Report (Page 1) Report on the Audit of the Financial Statements: This is an audit as to whether the financial statements are materially correct. There was an unmodified opinion, the highest level of assurance the City can receive that its financial statements are materially correct. Independent Auditor 's Report on Internal Control Over Financial Reporting and on Compliance Part of the audit is understanding internal controls, the test controls ; however, do not render an opinion as the standards do not require that. Had there been any material weaknesses or significant deficiencies in those controls, those would be communicated to the City. There were no issues , no internal findings noted. Independent Auditor 's Management Letter (Page 4) This report covers several things : First , if there are any other find in gs that maybe did not reach the level of the internal control report , but significant enough to communicate to the City . Again , that is a clean report ; no findings ; no issues noted. The last report is most significant in that it relates to compliance with the Florida Statutes that govern CRA 's and also the Statute related to investments . This is an examination report to determine, again, the CRA is collecting the money in accordance with the calculation, being deposited timely , and are the funds being budgeted and spent in accordance with statutes and the CRA Plan . As noted, this was a clean report , no findings , no issues noted. Mr . Wolf stated overall a clean audit , no issues discussed. Agency Questions In response to the question from Mr . Dugard , Mr . Wolf advised : There are some capital assets they do test ; it is a regular full audit and actually gets more scrutiny because it has a smaller materiality than it would as a City. As a City, it is not a major fund and gets lumped with other funds. Since it is separately audited and a separate materiality , they are fully confirming the ACFR , which would be part of the City audit anyway. The focus is really on the revenue , mak in g sure it is correct and the expenditures are in accordance with the plan . Public Input Chair Freaney opened the item for public input. Hearing and seeing no one wishing to speak , Chair Freaney closed the public input. MOTION : Mot ion was made by Member Gow and seconded by Member Dugard to approve the CRA Annual Independent Audit. 26-2

Regular Meeting Minutes July 23 , 2026 Agency Comments - None VOTE: Motion carried 4 - 0. 1.d. Edgewater Drive Parking Lot Lease Agreement Community Redevelopment Agency CRA/Economic Development Director lronsmith advised this is 1715 Edgewater Drive by the marina , a very important lot leased for years and one of the most economical parking leases . Economic Development Manager Jackson referred to a PowerPoint presentation and advised : A map showed the location of the lot with 32 parking spaces across from the marina. This has been a wonderful partnership with Deborah Bushnell since 2020 ; she does not wish to make any money on this lease, just to pay for any fees she incurs , such as property taxes and any associated costs with additional liability insurance. CRA staff has been working with Parks & Recreation to beautify the lot. There has been additional landscaping in regard to palm trees and cleaning of shrubs and so forth at the south end of the property as well as adding some fresh shell. The lease will be a 3-year term , with 3 available 1-year terms after that. Staff recommends approval of the new lease agreement. Questions for Staff When Mr. Dugard asked about the zoning on this property, Mr. lronsmith advised he would have to check and send an email with that information. When Mr. Sandbergen asked if the spaces are marked. It was explained it is shell with wheel stops; no striping. Public Input Chair Freaney opened the item for public input. Hearing and seeing no one wishing to speak, Chair Freaney closed the public input. MOTION: Motion was made by Member Sandbergen and seconded by Member Dugard to approve the Edgewater Drive Parking Lot Lease Agreement. CRA Comments Chair Freaney recognized what Deborah Bushnell does for the City , a great contributor to the city in many ways. VOTE: Motion carried 4 - 0. 1.e. Approval of amended CRA By-Laws and associated Resolution 26-02 City Attorney Cowan read CRA Resolution 26-02 by title only. MOTION: Motion was made by Member Dugard and seconded by Member Sandbergen to adopt CRA Resolution 26-02 , amending the CRA By- laws. CRA/Economic Development Director lronsmith advised this action is to get the by-laws in conjunction with the way the City operates and includes: Changing the meeting schedule from every 2 months to every 3 months; Recommending changing the meeting start time to 4:15 p.m. , which provides more time prior to the City Commission meeting. 26-3

Regular Meeting Minutes July 23, 2026 Economic Development Manager Jackson advised : Community Redevelopment Agency This is just changing the meetings to be quarterly to be more reflective of how many times the CRA meets each year . The original by-laws have the Executive Director employed and removed by the CRA. This updates the Economic & Housing Development Director to be the Executive Director of the CRA . The Financial Management Section was added to reflect the requ ired items ; nothing changing the actual operations of the CRA . Staff recommends approval of the revised by-laws . Questions for Staff Discussion ensued regarding the start time for CRA meetings. City Attorney Cowan suggested the language "at 4:30 p.m., un less otherwise properly noticed". Mr. lronsmith suggested it should be a set time in terms of the ability to meet advertising requirements and that 4:15 p.m. was actually a typo. Mr. Gow inquired whether there are any rules or operational procedures that follow the by-laws in terms of it being very detailed ; he is used to creating a framework with by-laws ; however, leave them flexible in order to change at any time. City Attorney Cowan explained : The by-laws should identify how often the meetings are to be held, such as quarterly ; it would be fine not to identify the specific months; she thought it a good idea to identify the location or time because of giving notice. The CRA does not have rules, such as with the City Commiss ion , where there is a resolution to adopt all the rules and those stay in place until amended. With the CRA, there are not the same rules separate from the by-laws, so they are sort of acting in that way . She thought that is why there is more detail. In terms of whether the CRA has to have all that in the by-laws , no , it could be done in a different way . Mr. lronsmith noted, according to Chapter 163 , it does have to be a little more solidified. A special meeting can always be called or cancellation of a future meeting. Mr. Gow noted the acknowledgement of the Economic & Housing Development Director as the Executive Director of the CRA is something different ; he asked what would happen if Mr . lronsm ith were to leave the City. Significant discussion ensued regarding the amended language , as follows : Section 2. Rule 4 of the By-Laws is amended , as follows: The executive Director of the Agency shall be employed and removed by an affirmati>.ie four fifths (4t5) 1.iote of the membership of the Agency and shall serve at the pleasure of the Agency and may be remo1.ied without 6atfS&: The Director of the City of Dunedin Economic and Housing Development Department shall serve as the Executive Director of the Agency and shall be responsible for the administration and management of the policies and programs approved by the Agency. The Executive Director may designate a member of City staff to handle day-to-day Agency operations, but the ultimate administrative authority and responsibility remain with the Executive Director. The Executive Director , 26-4

Regular Meeting Minutes July 23, 2026 Community Redevelopment Agency or his/her designee, shall prepare and maintain all records . The Executive Director, or his/her designee, may conduct preliminary negotiations, subject to the approval of the Agency, as necessary to implement plans and programs previously approved by the Agency. The Executive Director, or his/her designee, shall be the custodian of the records of the Agency and be the clerk of the Agency. Mr. lronsmith explained the City Manager would go out to hire a new Economic Development & CRA Director who would have both titles. It looks like when this was done many years ago and functioned well, it sort of indicated the CRA hiring the Economic Director. He was hired by the City Manager at the time. Staff thought this was cleaner, as opposed to the CRA hiring someone independent of the City Manager. He is serving dual functions, Housing & Economic Development and the Community Redevelopment Area so it seemed more appropriate to report to the City Manager. Chair Freaney expressed concern about the language, noting there could be changes in the future and, in her experience with the City , no one has ever gone outside the norm independently hiring a director. She noted , in the future , this will all go away when the CRA sunsets , unless in some way the City keeps the CRA with its own funding. Chair Freaney presented a scenario in which if a CRA Director was hired after Mr. lronsmith and the Agency was not happy, she would assume there would be a 4/5 vote of no confidence and then it would be up to the City Manager to take action or not. City Attorney Cowan acknowledged that could be done. Also, these are the Agency by-laws and those can be amended to say , "this position is no longer our Executive Director ; this position is the Executive Director". City Manager Bramley commented, if the City Commission decided they did not want the Economic & Housing Development Director to be the Executive Director of the CRA, it does not mean that Director would be leaving the employment of the City ; it means they are no longer Executive Director of the CRA. City Attorney Cowan acknowledged that was correct. Mr. lronsmith noted currently he serves at the pleasure of the City Manager. Chair Freaney clarified that it would be returned to the City Manager , treating it like any director serving at the will of the City Manager. City Manager Bramley commented that the Executive Director of the CRA is a natural fit as far as Economic Development. She thought having those positions in lockstep is very important for project coordination and so forth. She sees it from a different perspective as a strong recruitment aspect. Chair Freaney pointed out with the City Commission acting as the Community Redevelopment Agency they have dual control in multiple ways ; therefore, she is in support. Her only concern in reading the by-laws was that someone might interpret shifting power away from the Commission to the City Manager. Mr. Gow expressed the issue of trust , which there has been with Mr. lronsmith, and concern with a new person that this would be relinquishing something that has had no impact for 15 years , but may have serious impacts going forward, especially when it comes to the only leverage is pressuring the City Manager. Now it comes to multiple votes and big issues; if it is left in today , nothing changes. 26-5

Regular Meeting Minutes July 23, 2026 Community Redevelopment Agency Chair Freaney commented she thought the Agency has actually been acting as if it is the way it will be changed. She thinks City Manager Bramley is correct in that from a recruitment standpoint it takes politics out of the situation and that is better for recruitment. In response to the question from Mr. Dugard , Mr. lronsmith explained: When he came on board with the City in 1995 , the City Manager , at the time , brought in two Commissioners who were also CRA members to interview him and then it went to the City Manager. Mr. Dugard stated he thought the City Manager needs authority for the interview process and the Agency does not need to get caught up in an interview if it is not needed. He was also thinking of authority and responsibility, which he prefers to go through the City Manager to the CRA Director , which is what this amendment will do. Mr. lronsmith explained the importance of having the resources of the City Manager to set the tone for other departments to act in cooperation ; otherwise, he could not have done well. Mr. Dugard inqui red if in his dual role Mr. lronsmith had ever found himself conflicted because of a development that might be in one part of town as opposed to the CRA. Mr. lronsmith stated he had not, noting that the City is 90% -95% residential so he has never had a problem pivoting something downtown and in other parts of the city. Mayor Freaney explained her thought that the current way in the by-laws was meant for CRA 's, that were not the City Commission, that have their own person that they should be able to hire or fire . That is not the case here with the extra safeguard and protection. Mr. lronsmith commented on the City Manager has the pulse from the Commission and the Agency enabling her to give him direction and he has the authority to get her thoughts and direction, that is important. Chair Freaney inquired in terms of the January, March, July , and October she is fine or if one is missed or not needed ; that does not seem to be addressed for rescheduling and so forth. Mr. lronsmith acknowledged the Agency has flexibility to call a special meeting or cancel a meeting. He noted the need for the ability to call a special meeting if the timing was not good , for example, a developer-oriented agreement. AMENDED MOTION MOTION: Motion was made by Member Dugard and seconded by Member Sandbergen to adopt CRA Resolution 26-02, with the recommended time change to 4:30 p.m., amending the CRA By-Laws. Public Input Chair Freaney opened the item for public input. Hearing and seeing no one wishing to speak , Chair Freaney closed the public input. CRA Comments The CRA members voiced their support for the resolution and expressed appreciation to staff for their work. VOTE: Motion carried 4 - 0 with CRA Members Gow , Sandbergen, Dugard , and Chair Freaney voting aye. Voting nay, none. 1.f. Community Redevelopment Agency Director 's Report CRNEconomic Development Director lronsmith referred to the PowerPoint presentation attached to the staffing memo and commented : 26-6

Regular Meeting Minutes July 23, 2026 CRA Master Plan Update Community Redevelopment Agency Last updated in 2011/2012 and 90% of what was in the Master Plan has been accomplished. The CRA needs to prepare for the future, in terms of the vision and how to keep the City 's own CRA in order to stay strong. Capital Projects Active projects from the City 's website: FOOT Skinner Boulevard - irrigation is being installed with landscaping; undergrounding is also taking place. From the start date in 2018 , Skinner is coming down the home stretch ; it has slowed speeds and the goal is to set this up for the downtown redevelopment. Just learned today and not a done deal; however, the City's traffic consultant, Jerry Dabkowski, was able to contact the FOOT Assistant District Secretary and said there is a chance to get so many of the one-way signs removed and put the one-way striping in the road itself making it much more attractive with the landscaping. Midtown Parking Garage - continues to move forward going toward a Request for Proposal (RFP) process; no money is being spent. After that, it is in a stationary period until what happens with the property tax relief in November. Downtown Pocket Park - Grand Oak Park has picked up speed for completion with many elements; anticipated completion is mid-September . The restrooms will not follow until the end of February. There will still be use of the park with the restroom cordoned off until those are complete. Mr. lronsmith referred to the photos on the next pages showing programs on active projects and photos of "Then and Now" of the downtown. He noted the roundabout on Skinner has been positive with slowed speed and made the Pinellas Trail more useable ; he has not heard any negative feedback. Mr. lronsmith spoke to the importance of updating the CRA Master Plan, getting a lot of public participation , citizens, merchants, the Chamber , and all; that should begin in October/November of this year in conjunction with Forward Pinellas. Agency Questions Mr. Sandbergen inquired about the sod in Pioneer Park, in terms of every year that it is beaten up, and if there is a plan for when the Market is back to save the grass. Mr. lronsmith noted the Market is a significant activity engine; there has been some discussion with Parks & Recreation Director Mulkey about some possible options. He noted it is not just the Market; there are other events taking place in the park as well. Mr. Sandbergen inquired about any timetable for the Main Street Exchange and when the existing building is going to come down . Mr. lronsmith advised he spoke with Mr. Mazas and it will probably be late spring of next year , he wants to get the garage done; once the demolition starts, the parking the City leases will be lost. Mr. Sandbergen noted when the fence went up where they are building the garage in the 900 block of Douglas , cars on weekends were driving into that fence to park and some of the trucks were taking up the southbound lane of Douglas. It looks like now they have moved the fence to the wall area so there is no parking. Mr. lronsmith advised it is correct there is no parking there. He noted , also working in conjunction with the City Manager and other department heads for a Letter of Agreement related to the parking garage, truck deliveries , and so forth . 26-7

Regular Meeting Minutes July 23, 2026 Community Redevelopment Agency In response to the question from Mr. Dugard about the condition of the tree in Grand Oak Park with the construction , Mr. lronsmith said the tree is very healthy , the City Arborist has been on site ; a branch or two might need to be trimmed. When Mr . Dugard inquired about the previous discussion regarding the size of the restrooms in the park , City Manager Bramley explained regarding the difference in the specifications from the City and the design and there has been no answer as yet from the company and staff will continue to pursue that issue . Mr. Dugard inquired about the parking garage . Mr. lronsmith explained the plans will continue; the next step is for the RFP , that will take several months , from the three Commission-approved contractors . Staff does not want to bring that to the Commission until after the November 3rd referendum. Speaking for himself, if the referendum does pass , he foresees the garage future will depend on the cost , if it is reasonable between the CRA , which in the first year it sunsets , there will be a strong influx of revenue into the General Fund of $1 .5 million to $1 .6 million and after it will continue to increase; he still thinks the garage is doable with a debt service of $840 ,000 a year. He emphasized the downtown now is a $315 million engine minus Penny money , utility and franchise money and that needs to be preserved . Chair Freaney expressed concern that nothing has been heard about the Grand Oak Park restroom changes; City Manager and Mr . lronsmith will check on it. Chair Freaney inquired about the Grand Oak Park soil inspections in terms of stability and no more issues with gaps and so forth . Mr. lronsmith stated he felt very comfortable with the stability. Chair Freaney recalled the request for an update on the sidewalks in the downtown inspections and repairs. City Manager Bramley will follow up. Public Input Chair Freaney opened the item for public input. Hearing and seeing no one wishing to speak , Chair Freaney closed the public input. Agency Questions/Comments - None 1.g. Community Redevelopment Agency Advisory Committee Membership Recommendation -Appoint Dr . Terry Zervos to partial regular term ending 3/1/2028. -Appoint Anne Bokneberg to partial alternate term ending 3/1/2028. Staff Presentation Mr. lronsmith explained there has been a little more turnover in the CRAAC than in the past and reviewed the recommendations. He noted they tend to go according to the list and Dr. Zervos was next in line after having been out for one year due to terming out. City Clerk Wells advised that CRAAC has specific requirements for serving and it could be that the committee chose based on those requirements. Questions for Staff Mr. Dugard asked how long the list is for CRAAC; Mr. lronsmith will need to follow up on that question; he noted it used to be long; however , lately, there has been a lot of turnover for various reasons . 26-8
